Case Brief Summary & Legal Analysis

General Brief
4 min read

tl;dr: The court held that a child adopted by strangers is presumptively excluded from a class gift to her biological mother’s “descendants” in pre-1964 trusts. The strong public policy favoring finality in trust administration and assimilation of adopted children overrides outdated inheritance statutes.

Legal Significance: This case extends the rule from Matter of Best, which excludes adopted-out children from class gifts, to instruments created before 1964. It establishes a uniform rule of construction in New York prioritizing finality and administrative convenience over biological ties when a grantor’s intent is unclear.

Case Facts & Court Holding

Key Facts & Case Background

Florence Woodward created two irrevocable trusts in 1926 and 1963 for the lifetime benefit of her daughter, Barbara Piel. Upon Barbara’s death, the trust principal was to be distributed to her “descendants” (1926 trust) or “each then living child of hers” (1963 trust). Barbara had three biological daughters. Two, Stobie Piel and Lila Piel-Ollman, were children of her marriage. The third, intervenor-respondent Elizabeth McNabb, was born out of wedlock in 1955 and immediately placed for adoption with strangers. There was no indication that the grantor, Florence Woodward, knew of Elizabeth’s birth or adoption. When Barbara died in 2003, the trustee sought to distribute the approximately $9.7 million trust principal only to Stobie and Lila. Elizabeth intervened, claiming she was entitled to a one-third share as one of Barbara’s descendants. The trust instruments were silent on the issue of whether an adopted-out child should be included in the class gift.

Court Holding & Legal Precedent

Issue: Does the rule of construction that presumptively excludes an adopted-out child from a class gift to “issue” or “descendants” apply to irrevocable trusts executed prior to the 1964 statutory termination of an adopted child’s inheritance rights from their biological family?
