Louisiana Power & Light (LP&L) contracted with Allegheny Ludlum Industries (Allegheny) for the supply of condenser tubing at a fixed price of approximately $1.1 million. The contract contained a limited price escalation clause applicable only if LP&L delayed shipment, but no general clause protecting Allegheny from its own cost increases. After the contract was formed, Allegheny’s costs for raw materials and labor increased dramatically, with some components rising as much as 185%. Allegheny projected it would lose $428,500 on the contract if it performed, which represented a 38% increase over its anticipated costs. However, the manufacturing division would still have remained profitable for the year. Allegheny requested “additional compensation,” which LP&L refused. LP&L then demanded adequate assurance of performance under UCC § 2-609. When Allegheny failed to provide assurance, instead offering to perform at its new, higher cost, LP&L treated the contract as repudiated. LP&L then purchased substitute tubing from another supplier for approximately $1.7 million and sued Allegheny for the difference as cover damages. Allegheny asserted the defenses of commercial impracticability, mutual mistake, and unconscionability.
