JLM Industries, Inc. (JLM), a chemical shipper, entered into numerous shipping contracts with several of the world’s largest parcel tanker owners (the Owners). Each transaction was governed by a standard form contract, the ASBATANKVOY, which contained a broad arbitration clause requiring that “[a]ny and all differences and disputes of whatsoever nature arising out of this Charter” be submitted to arbitration. JLM filed a putative class action against the Owners, alleging they engaged in a horizontal price-fixing conspiracy to artificially inflate shipping rates in violation of the Sherman Act and state laws. JLM claimed its injury consisted of the overpayments made under the ASBATANKVOY contracts due to the conspiracy. The Owners moved to compel arbitration. The district court denied the motion, concluding the antitrust claims fell outside the scope of the arbitration clause because they did not depend on the interpretation or performance of the contracts themselves. The Owners appealed.
