Case Brief Summary & Legal Analysis
tl;dr: A company disclosed privileged documents to government agencies under confidentiality agreements. When civil plaintiffs later sought the same documents, the court held the disclosure waived the attorney-client privilege and work-product protection, rejecting the company’s “selective waiver” argument.
Legal Significance: The Tenth Circuit joins the overwhelming majority of federal circuits in rejecting the selective waiver doctrine, holding that voluntary disclosure of privileged materials to the government waives the privilege as to all other adversaries, even when done under a confidentiality agreement.
Case Facts & Court Holding
Key Facts & Case Background
Qwest Communications International, Inc. (Qwest) was under investigation by the Securities and Exchange Commission (SEC) and the Department of Justice (DOJ). Pursuant to subpoenas and confidentiality agreements, Qwest voluntarily produced over 220,000 pages of documents protected by the attorney-client privilege and the work-product doctrine to these agencies. The agreements stated Qwest did not intend to waive privilege and that the agencies would maintain confidentiality, but they also gave the agencies broad discretion to use the documents in furtherance of their duties, including sharing them with other government bodies. Subsequently, in a consolidated securities class action, civil plaintiffs moved to compel production of the same documents. Qwest refused, arguing that its disclosure to the government constituted a “selective waiver” that did not waive the privileges as to third-party civil litigants. The district court ordered production, finding that Qwest had waived both the attorney-client privilege and non-opinion work-product protection. Qwest then petitioned the Tenth Circuit for a writ of mandamus to prevent the disclosure.
