Don King, a carwash systems distributor, engaged Scott Willson, an electronics technician, to develop a new product and provide technical support for the ‘QuikPay’ system. They, along with a third party, initially agreed to form a corporation called ‘Secure Data Systems’ (SDS) for the new product development, with King providing financing and Willson providing technical expertise. When the original QuikPay manufacturer, Datakey, discontinued the product line, it gave its entire inventory and customer list to King. Subsequently, King and Willson began operating the entire QuikPay business—including sales, maintenance, and development—under the SDS name. Willson contributed approximately 2,000 hours of uncompensated labor, believing it was his contribution to the partnership. They used joint business cards, King referred to Willson as ‘the other half of Secure Data Systems,’ and they shared control over pricing, product lines, and customer service. King provided Willson with a credit card for business expenses. After their relationship deteriorated, Willson sued for dissolution and an accounting of the partnership. The trial court found no partnership existed due to the lack of a ‘specific agreement.’
