Petitioner Monde Re, a Monaco-based reinsurer, obtained an $88 million arbitration award in Moscow against Naftogaz, a Ukrainian state-affiliated gas company. The award stemmed from a dispute over a gas transport contract originally between Russian and Ukrainian entities. Monde Re sought to confirm the award in the Southern District of New York under the Convention on the Recognition and Enforcement of Foreign Arbitral Awards (the “New York Convention”), implemented by the Federal Arbitration Act. It sued both Naftogaz and the State of Ukraine, alleging Ukraine was the alter ego of Naftogaz and thus liable for the award. None of the parties were U.S. entities, the underlying contract and dispute had no connection to the U.S., and the arbitration occurred in Russia. The respondents moved to dismiss, with Ukraine arguing for dismissal on the grounds of forum non conveniens. The district court granted the motion, finding Ukraine to be an adequate alternative forum and that the balance of public and private interest factors strongly favored dismissal.
