In 2003, Galderma Laboratories, a large global pharmaceutical company, engaged the law firm Vinson & Elkins (V&E) for employment and benefits matters. The engagement letter, signed by Galderma’s experienced General Counsel, contained a broad prospective waiver of future conflicts. The waiver permitted V&E to represent other clients in matters adverse to Galderma, provided the new matter was not substantially related to V&E’s work for Galderma and did not risk misuse of confidential information. In 2012, while V&E was still actively representing Galderma on employment issues, V&E appeared as counsel for Actavis, a defendant in a patent infringement lawsuit brought by Galderma. This created a concurrent conflict of interest, as V&E was simultaneously representing Galderma and suing it on behalf of another client. When Galderma discovered the conflict, it demanded V&E withdraw from representing Actavis. V&E refused, citing the 2003 waiver, and instead terminated its own relationship with Galderma. Galderma then filed a motion to disqualify V&E from the Actavis litigation.
