Joseph N. Gorson was one of several makers of a $3 million unsecured demand promissory note in favor of Fidelity Bank. The note contained a warrant of attorney empowering the bank to confess judgment against the makers at any time. Joseph Gorson died on February 4, 1979. Nearly a year later, on January 11, 1980, Fidelity Bank confessed judgment against his estate pursuant to the warrant of attorney. The bank argued that the power to confess judgment was a form of security, irrevocable, and not contingent on default, and therefore should survive the maker’s death. The executors of Gorson’s estate filed a petition to strike the judgment, asserting that the warrant of attorney, which creates an agency relationship, was terminated as a matter of law by Gorson’s death. The trial court denied the estate’s petition, upholding the judgment. The estate appealed, presenting the issue of whether a power to confess judgment survives the death of the principal.
