Sellers owned a 50-acre parcel and entered into a written contract to sell 30 acres to Buyer. The contract identified the entire 50-acre parcel by its tax map number but specified the conveyance was for “at least thirty acres” and that the “purchaser and seller to agree on location of property lines.” The parties met with a surveyor and initialed a rough sketch on an old plat, but all testified this was not intended as the final agreement. The surveyor later produced two formal plats depicting a specific 30-acre tract, but Sellers, the party to be charged, never signed or approved either one. Buyer signed one of the plats. Sellers did sign restrictive covenants that applied to the entire 50-acre parcel, which were filed along with one of the unapproved plats. When Sellers became dissatisfied with the proposed lines and restrictions, they refused to proceed with the closing. Buyer sued for specific performance, and Sellers counterclaimed for attorney’s fees under a clause in the contract awarding them to the prevailing party in any enforcement action.
