Plaintiff Anne Faggionato, an art dealer, located a Monet painting for Defendant Randolph Lerner. Negotiations proceeded through intermediaries. Lerner’s accountant executed a “letter of intent” to purchase the painting for $13 million, “subject to his viewing and approval, and the receipt of customary documentation.” Lerner viewed the painting in Paris, after which Faggionato alleged he orally agreed to the purchase. However, Lerner’s representatives continued to express concerns and request further documentation, particularly the identity of the true owner, which Faggionato failed to provide. Faggionato was not the owner of the painting and consistently referred to the separate, undisclosed “owners” in communications. After an invoice was sent naming a third-party wealth management firm as the seller, Lerner’s lawyer formally rejected the sale, stating Lerner had abandoned the transaction weeks prior. Faggionato sued for breach of contract, seeking lost commissions and other damages. She later withdrew her claims for specific performance and diminution in value on behalf of the owner.
