Duane Herrig, initially a minority shareholder in Cookies Food Products, Inc., a struggling barbeque sauce company, was granted an exclusive distribution contract through his own company, Lakes Warehouse. Under this arrangement, sales soared. Herrig later acquired a 53% majority stake in Cookies, replaced most of the board, and subsequently entered into additional agreements with himself or his companies for warehousing services, a royalty for a new taco sauce recipe he developed, and a personal consulting fee. These self-dealing transactions were approved by the new board. Minority shareholders, who had not received dividends, filed a derivative suit alleging Herrig breached his fiduciary duty of loyalty. They claimed the agreements were not the product of arms-length bargaining and unfairly siphoned corporate profits to Herrig, even though the company experienced phenomenal financial success under his management. The plaintiffs argued the compensation was grossly excessive when compared to the fair market value of the services rendered.
