The National Basketball Players Association (NBPA), the exclusive bargaining representative for all NBA players, established a comprehensive system of agent regulation in 1986 in response to widespread player complaints of agent abuses, such as excessive fees and conflicts of interest. The regulations required agents to be certified by the NBPA, adhere to a code of conduct, and use a standard contract with fee limitations. Subsequently, the NBPA negotiated Article XXXI into its collective bargaining agreement (CBA) with the NBA, which prohibited teams from negotiating with non-certified agents. Plaintiff Thomas Collins, a player agent, was initially certified but let his certification lapse. He later reapplied after settling a lawsuit brought by a former client, Kareem Abdul-Jabbar, which alleged serious breaches of fiduciary duty. The NBPA investigated these allegations, found Collins had committed fiduciary breaches and made false statements during its inquiry, and denied his application for recertification. Collins was informed of his right to challenge the denial via binding arbitration but declined to do so.
