The Insureds, Babcock & Wilcox Co. and Atlantic Richfield Co., were defendants in a federal class action lawsuit alleging injuries from their nuclear facilities. Their insurer, American Nuclear Insurers (ANI), agreed to defend them but did so under a reservation of rights, asserting that the policy might not cover all claims, such as punitive damages. The policy contained a standard cooperation clause requiring the insurer’s consent for any settlement and granting the insurer exclusive control over settlement decisions. During the litigation, the Insureds received settlement offers. ANI, believing the underlying claims were weak and that a defense verdict was likely, refused to consent to any settlement. Faced with the risk of an uninsured judgment if ANI’s coverage defenses prevailed, the Insureds settled the class action for $80 million without ANI’s consent. The Insureds then sued ANI in state court seeking reimbursement for the settlement. The trial court applied a “fair and reasonable” standard and found for the Insureds. The Superior Court reversed, proposing a different test. The Supreme Court of Pennsylvania granted review to decide the proper standard.
