Days before the filing deadline, Sipe retained Lantz, a West Virginia attorney, to act as local counsel. Lantz’s involvement was minimal; he reviewed the complaint for form, authorized his signature, and had a brief discussion with Sipe about timeliness. Lantz was never asked to render a formal opinion on the statute of limitations or the choice of forum. Critically, there was no agreement for Lantz to share in the fees or profits; he expected a flat fee. In contrast, Sipe and Smith had an agreement to split fees equally.
