Diego de Amezaga, a former director at AirFacts, Inc., signed an employment agreement containing a non-compete clause and a provision requiring the return of all company property upon termination. On his last day, he emailed “Proration Documents,” containing a database model for a new software product, to his personal email. He testified he did this to be able to answer potential follow-up questions from AirFacts. After his employment ended, he accessed a company cloud account and downloaded “Flowcharts” he had created. These Flowcharts compiled and organized publicly available airline tariff data in a unique, efficient format, incorporating his specialized knowledge. He submitted the Flowcharts as part of a job application. De Amezaga then accepted a position at American Airlines, an AirFacts customer, in its Refunds department. AirFacts’ primary business was ticket auditing, a distinct function from refund processing. AirFacts sued De Amezaga for breach of contract and misappropriation of trade secrets under the Maryland Uniform Trade Secrets Act (MUTSA) for retaining the Proration Documents and Flowcharts and for his work at American Airlines.
